By accessing and using CLI Pal ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Service.
2. Description of Service
CLI Pal provides real-time server monitoring and management tools, including but not limited to: performance metrics tracking, terminal access, AI-assisted command execution, security monitoring, and server management capabilities through a web-based dashboard and lightweight agent software.
3. User Accounts
3.1 Account Creation
To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms of Service or engage in activities that could harm our Service or other users.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to other systems
- Interfere with or disrupt the Service or servers

5. Agent Installation and Usage
5.1 Agent Software
Our agent software is provided for monitoring and managing your own servers. You must only install the agent on servers you own or have explicit permission to monitor and manage.
5.2 Server Access
You are solely responsible for all commands executed through our Service. We provide tools for server management, but you remain responsible for the security and integrity of your servers.
5.3 Updates
The agent software may automatically update to ensure security and functionality. You agree to allow such updates as part of using the Service.
6. Service Availability
While we strive to maintain high availability, we do not guarantee that the Service will be available at all times. We may modify, suspend, or discontinue the Service at any time without notice. We are not liable for any interruption or cessation of the Service.
7. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, software, and design, are owned by CLI Pal and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of your data and server metrics. By using our Service, you grant us a limited license to process and display your data as necessary to provide the Service.
8. Billing and Payments
8.1 Subscription Plans
We offer various subscription plans with different features and limitations. You agree to pay all fees associated with your chosen plan.
8.2 Billing Cycle
Subscription fees are billed in advance on a recurring basis according to your billing cycle (monthly or annually). Your subscription will automatically renew unless cancelled before the renewal date.
8.3 Refunds
Refunds are provided at our discretion and subject to our refund policy. Generally, fees are non-refundable except as required by law.
8.4 Price Changes
We reserve the right to modify our pricing at any time. We will provide notice of significant price changes, and such changes will apply at the next billing cycle.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLI PAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Service
- Unauthorized access to or alteration of your data
- Statements or conduct of any third party on the Service
- Any other matter related to the Service
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Indemnification
You agree to indemnify and hold harmless CLI Pal, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.
12. Data Backup
While we implement backup procedures, you are solely responsible for maintaining backups of your server data. We are not responsible for any loss of data, whether from server failures, software bugs, or other causes.
13. Third-Party Services
Our Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CLI Pal operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CLI Pal regarding the use of the Service and supersede all prior agreements and understandings.
