Welcome to the CLI Pal Affiliate Program ("Program"). By applying to or participating in this Program, you ("Affiliate," "you," or "your") agree to be bound by these Terms and Conditions ("Agreement"). This Agreement is entered into between you and CLI Pal ("Company," "we," "us," or "our").
Please read this Agreement carefully before applying. Your participation in the Program constitutes acceptance of these terms.
The CLI Pal Affiliate Program allows approved affiliates to earn commissions by promoting CLI Pal to their audience and referring new paying customers to our service. This Program is designed for technology influencers, content creators, bloggers, and other professionals with relevant audiences.
3.1 Application Process — To participate in the Program, you must submit an application through our designated application form. Acceptance into the Program is at our sole discretion. We reserve the right to reject any application without providing a reason.
3.2 Eligibility Requirements — You must be at least 18 years of age, have a valid website, blog, YouTube channel, social media presence, or newsletter with relevant content, provide accurate and complete information, and comply with all applicable laws and regulations.
3.3 Account Status — Your affiliate account may be in one of the following states: Pending (awaiting review), Approved (active), Rejected, or Suspended. We may change your account status at any time based on your compliance with these terms.
4.1 Commission Rate — Affiliates earn a one-time commission of 25% of the value of the first paid subscription from each referred customer. This commission applies to all paid plans (Solo, Pro, and Business).
4.2 Commission Calculation — The commission is calculated based on the total amount of the first transaction. For example: Pro Monthly $19 × 25% = $4.75; Pro Annual $190 × 25% = $47.50.
4.3 Non-Recurring Commissions — Commissions are one-time only. You will not receive commissions on subscription renewals, upgrades, or if a customer cancels and later re-subscribes.
4.4 Commission Changes — We reserve the right to modify the commission structure at any time. Changes will be communicated to affiliates via email and will apply to sales made after the effective date of the change.
5.1 Referral Codes — Each affiliate may create up to 10 unique referral codes to track performance across different channels.
5.2 Cookie Duration — When a potential customer clicks your referral link, a tracking cookie is stored in their browser for 30 days. If the customer completes a purchase within this period, the sale will be attributed to you.
5.3 Attribution Model — We use a first-touch attribution model. The first affiliate whose link the customer clicked will receive credit for the sale.
6.1 Payment Method — All payments are made via bank transfer. You must provide valid banking information (account holder name, IBAN, BIC/SWIFT code, and bank country).
6.2 Payment Currency — Payments are made in USD. If you require payment in EUR, the amount will be converted using the exchange rate on the payment date.
6.3 Payment Schedule — Payments are processed monthly (typically on the 15th) for all approved commissions. There is no minimum payment threshold.
6.4 Hold Period — Commissions are held for 30 days after the sale is confirmed before becoming available for payment.
6.5 Refunds and Chargebacks — If a referred customer requests a refund or initiates a chargeback, the corresponding commission will be deducted from your balance.
6.6 Tax Obligations — You are solely responsible for all taxes related to your affiliate earnings. CLI Pal does not issue any tax documents.
7.1 Permitted Activities — Organic content (blog posts, articles, videos, podcasts, reviews), social media posts, email marketing to your own opt-in subscribers, paid advertising (with restrictions), and honest comparisons with competing products.
7.2 Prohibited Activities — The following are strictly prohibited and will result in immediate termination: bidding on brand keywords ("CLI Pal," "clipal"), cookie stuffing, spam, false or misleading claims, self-referrals, fake accounts, impersonating CLI Pal, and using copyrighted materials without authorization.
7.3 Disclosure Requirements — You must clearly disclose your affiliate relationship in all promotional content, in compliance with applicable advertising standards (e.g., FTC guidelines).
7.4 Marketing Materials — We provide approved marketing materials through your affiliate dashboard. You may only use official CLI Pal branding assets. Modifications require prior written approval.
CLI Pal grants you a limited, non-exclusive, non-transferable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting CLI Pal under this Program. This license terminates immediately upon your exit from the Program.
You may not register or use domain names, social media handles, or other identifiers containing "CLI Pal," "clipal," or confusingly similar terms.
9.1 Termination by Affiliate — You may terminate your participation at any time by contacting us at [email protected]. Upon termination, any approved commissions will be paid according to the normal payment schedule.
9.2 Termination by CLI Pal — We may suspend or terminate your participation at any time, with or without cause, with or without notice. In cases of fraud or serious violations, we may forfeit any pending commissions.
9.3 Effect of Termination — Upon termination, you must immediately cease all promotional activities and remove all CLI Pal marketing materials from your platforms.
You agree to keep confidential any non-public information disclosed to you as part of the Program, including but not limited to commission rates, program statistics, and business strategies. This obligation survives termination of this Agreement.
To the maximum extent permitted by law, CLI Pal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program. Our total liability shall not exceed the total commissions paid to you in the twelve months preceding the claim.
The Program is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the Program will be uninterrupted, error-free, or that you will earn any specific amount of commissions.
You agree to indemnify and hold harmless CLI Pal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your promotional activities, your violation of these terms, or your violation of any third-party rights.
You are an independent contractor and not an employee, partner, joint venturer, or agent of CLI Pal. Nothing in this Agreement creates any employment, partnership, or agency relationship. You have no authority to bind CLI Pal in any way.
We collect and process personal data in accordance with our Privacy Policy. By participating in the Program, you consent to the collection and processing of your data as described therein.
If you use cookies or tracking technologies on your own platforms, you are responsible for complying with applicable data protection laws (such as GDPR) and obtaining necessary consents.
We may modify these terms at any time. Material changes will be communicated via email. Your continued participation after notification constitutes acceptance of the modified terms.
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which CLI Pal operates, without regard to conflict of law principles.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and CLI Pal regarding your participation in the Affiliate Program.
